Welcome to Stuffidy! These Terms of Service ("Terms") govern your access to and use of the Stuffidy website, mobile applications, and related services (collectively, the "Platform" or "Services").

Please read these Terms carefully. By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

1. Overview of Stuffidy Marketplace

Stuffidy provides an online venue that enables registered users ("Users") to list, rent, buy, and sell personal items, tools, camping equipment, and household goods ("Items") directly with neighbors and community members in their local area.

Stuffidy is a platform provider, not a rental agency, broker, retailer, or insurer. Stuffidy does not own, inspect, manufacture, store, or control any Items listed on the Platform. The legal contract for any rental, purchase, or sale is strictly between the User offering the Item ("Lender" or "Seller") and the User receiving the Item ("Renter" or "Buyer").

2. Eligibility & Account Registration

  • Age Requirement: You must be at least 18 years old (or the legal age of majority in your jurisdiction) to register an account or use the Platform.
  • Account Information: You agree to provide accurate, current, and complete information during registration and to keep your account details updated.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Stuffidy immediately if you suspect any unauthorized access to your account.

3. User Conduct & Community Rules

By using Stuffidy, you agree not to:

  • Violate any applicable local, state, national, or international law or regulation.
  • List, rent, or sell prohibited items, including firearms, weapons, illegal substances, hazardous materials, recalled items, or stolen property.
  • Misrepresent the identity, condition, safety, or ownership of any Item listed on the Platform.
  • Circumvent the Platform by arranging off-platform payment or contact details to avoid paying Stuffidy service fees.
  • Use the Platform to harass, abuse, stalk, harm, or defraud another User or community member.
  • Damage, misuse, or fail to return rented Items by the agreed-upon rental deadline.

Stuffidy reserves the right to suspend, terminate, or restrict access to any account that violates these rules or poses a risk to our community.

4. Rentals, Sales, Fees & Payments

  • Payment Processing: All payments, fees, and payouts are processed securely through our third-party payment processors (e.g., Stripe). Stuffidy does not directly store full credit card information.
  • Service Fees: Stuffidy charges service fees to support platform operations, customer support, and payment processing. All applicable fees, rental costs, and security deposits will be clearly displayed prior to booking or purchasing.
  • Cancellations & Refunds: Rental cancellations, returns, and refund requests are subject to Stuffidy's Cancellation Policy in effect at the time of booking.
  • Late Returns & Damage: Renters are responsible for returning Items in the condition they were received, reasonable wear and tear excepted. If an Item is returned damaged, late, or missing, the Renter agrees that Stuffidy or its payment processor may charge the Renter's payment method for repair, replacement, or late fee costs.

5. Assumption of Risk & Equipment Safety

  • User Responsibility: Users (Lenders/Sellers and Renters/Buyers) are solely responsible for inspecting Items prior to use. Renters agree to use all rented or purchased gear strictly in accordance with manufacturer instructions and applicable safety standards.
  • Assumption of Risk: Operating tools, machinery, outdoor equipment, and household gear carries inherent risks of property damage, personal injury, or death. You voluntarily assume all risks associated with renting, using, or lending Items obtained through the Platform.
  • Safety Gear: Renters agree to wear and use appropriate safety equipment (e.g., protective eye wear, helmets, gloves) required for operating any rented gear or tools.

6. Intellectual Property & User Content

  • Platform IP: The Stuffidy brand, logo, design, software, text, graphics, and underlying source code are the exclusive property of Stuffidy and its licensors.
  • User Content: By uploading photos, item descriptions, reviews, or messages to the Platform, you grant Stuffidy a non-exclusive, worldwide, royalty-free license to use, host, display, and distribute that content to operate and promote the Platform.

7. Disclaimer of Warranties

THE PLATFORM AND ALL ITEMS LISTED THEREON ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, STUFFIDY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SAFETY, QUALITY, OR NON-INFRINGEMENT.

STUFFIDY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY ITEM RENTED OR PURCHASED WILL MEET YOUR REQUIREMENTS OR BE FREE OF DEFECTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STUFFIDY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, PROPERTY DAMAGE, OR PERSONAL INJURY, ARISING OUT OF OR IN CONNECTION WITH:

  1. YOUR USE OF OR INABILITY TO USE THE PLATFORM;
  2. ANY TRANSACTION, AGREEMENT, OR DISPUTE BETWEEN YOU AND ANOTHER USER;
  3. THE CONDITION, DEFECT, OR OPERATION OF ANY ITEM RENTED OR PURCHASED THROUGH THE PLATFORM.

IN NO EVENT SHALL STUFFIDY'S TOTAL LIABILITY EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID TO STUFFIDY IN SERVICE FEES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Stuffidy and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, expenses, or legal fees (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the Platform;
  • Your breach of these Terms;
  • Any Item you list, rent, buy, sell, or lend through the Platform;
  • Your violation of any third-party right, including intellectual property rights or personal safety.

10. Dispute Resolution & Governing Law

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Stuffidy is incorporated, without regard to its conflict of law principles.
  • Informal Resolution: Before filing a formal legal claim, you and Stuffidy agree to attempt to resolve any dispute informally by contacting our support team at support@stuffidy.com.
  • Binding Arbitration: Any unresolved dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be settled by binding arbitration rather than in court, except where prohibited by law.

11. Termination

Stuffidy reserves the right, in its sole discretion, to suspend or terminate your account and disable your access to the Platform at any time, with or without notice, for any reason, including violation of these Terms. You may also close your account at any time by contacting customer support, provided you have no active rentals or outstanding financial obligations.

12. Changes to These Terms

We may update or modify these Terms from time to time. If we make material changes, we will notify you by updating the "Last Updated" date at the top of this document, sending an email, or displaying a notice within the Platform. Your continued use of Stuffidy after the effective date of updated Terms constitutes your acceptance of the changes.
